Amendment No. 2 to Contract No. 038-19
CHIEF OF POLICE EMPLOYMENT AGREEMENT
Between CITY OF PORT ORCHARD and MATTHEW H. BROWN
THIS AMENDMENT to Contract No. 038-19 ("Amendment") is made effective as of the
28th day of May 2024, by and between the City of Port Orchard ("City), a municipal corporation,
organized under the laws of the State of Washington, and Matthew H. Brown (hereafter "Brown").
RECITALS:
A. On May 28, 2019, the parties executed a Chief of Police Employment Agreement to
memorialize the terms and conditions of employment for Matthew H. Brown to serve as the City's
Chief of Police (the "Underlying Agreement"); and
B. The February 23, 2021, the parties executed Amendment No. 1 to the Underlying
Agreement that modified certain provisions but did not modify the term of the agreement; and
C. The Underlying Agreement expires on May 27, 2024, and the parties have agreed to a
short-term extension to allow them to complete negotiations for a long-term extension of the
Underlying Agreement; now, therefore,
AMENDMENT TO AGREEMENT:
In consideration of the mutual benefits accruing, the parties agree as follows:
1. Section 2.A is hereby amended, in part, as follows:
The term of the Underlying Agreement is hereby extended for an additional sixty (60) days
to July 27, 2024.
2. Underlying Agreement in effect. In all other respects, the Underlying Agreement, as
amended by Amendment No. 1 and this Amendment, shall remain in full force and effect.
3. Severability. The provisions of this Underlying Amendment are declared to be severable.
If any provision of this Amendment is, for any reason, held to be invalid or unconstitutional
by a court of competent jurisdiction, such invalidity or unconstitutionality shall not affect
the validity or constitutionality of any other provision.
