THIS BILL OF SALE is made and executed this 23`d day of January , 2015, by and
between The Sinclair, LLC, a Washington Limited Liability Corporation, hereinafter called the
Grantor and the City of Port Orchard, a Municipal Corporation, hereinafter called the Grantee.
WITNESSETH:
That the grantor, for good and valuable consideration, the receipt of which is hereby
acknowledged, hereby conveys, sets over, assigns, transfer and deliver and warrants to the City of
Port Orchard ownership in the following described personal property situated in Kitsap County,
State of Washington, and installed by the Grantor to date, TO WIT:
The Pottery Ave. Sewage lift station and related appurtenances, as further described in Exhibit A
and itemized in Exhibit B, both of which are attached hereto and incorporated herein by this
reference.
The Grantor hereby warrants that it is the lawful and sole owner of all the personal pro perty above
conveyed, that such items are free from all liens and encumbrances, that the Grantor has the full
power to convey and transfer the same, and that the Grantor will defend the same against the
claims and demands of any and all persons lawfully making claims thereto. The Grantor further
warrants that the execution of this Bill of Sale is an authorized act of said GrantW`

EXHIBIT A
LIST OF REQUIRED IMPROVEMENTS
The following provides a general description of the improvements conveyed under this Bill of
Sale:
1. The "Pottery Ave. Lift Station" project as shown in the approved construction plans
prepared by RH2 Engineering, Inc. dated May 6, 2014 with City of Prot Orchard
approval dated 6/3/14. Specific improvements conveyed under this Bill of Sale includes
the following elements found within this approved construction drawings set as follows:
a. 10 foot diameter wet well containing 2- 60 HP Vaughn Chopper pumps, along
with associated valve vault and meter vault.
b. Approximately 89 LF of 15" pvc gravity sewer, 48" diameter inlet manhole, and
approximately 48 LF of 12" diameter discharge pressure main.
c. Construction of concrete slab foundation and electrical shelter to accommodate
electrical service panels and control panels.
d. Furnish and install a 125KW emergency standby generator with automatic
transfer switch.
e. Connection to Existing manhole, Existing manhole overflow connection and air
relief valves.
The items, quantity and value of the improvements describe above and conveyed under this
Bill of Sale are presented in Exhibit B.
