HomeMy WebLinkAbout006-25 - Kitsap Humane Society - Contract AmendmentDocusign Envelope ID: 8071A53E-2DC4-47B7-A2A7-6OE4F3686585 Amendment No. i to CONTRACT No. 006-25 CITY OF PORT ORCHARD PROFESSIONAL SERVICES AGREEMENT FOR ANIMAL CONTROL SERVICES THIS amended Agreement ("Amendment") is made effective as of the 1st day of January 2026, by and between the City of Port Orchard, a municipal corporation, organized under the laws of the State of Washington, whose address is: CITY OF PORT ORCHARD, WASHINGTON (hereinafter the "CITY") 216 Prospect Street Port Orchard, Washington 98366 Contact: Mayor Robert Putaansuu Phone: 360.876.4407 Fax: 360.895.9029 and Kitsap Humane Society, a nonprofit corporation, organized under the laws of the State of Washington, doing business at: KITSAP HUMANE SOCIETY (hereinafter the "CONSULTANT") 9167 Dickey Road NW Silverdale, WA 98383 Contact: Jamie Nocula, Co -Executive Director Phone: (360) 692-6977, ext. 1224 RECITALS WHEREAS, on the December 11, 2024, the City executed a Professional Services Agreement for Animal Control Services ("Underlying Agreement"); and WHEREAS, the Agreement needs to be amended to share the increased costs for animal control insurance premium for 2026. NOW, THEREFORE, in consideration of the mutual benefits accruing, it is agreed by and between the parties thereto as follows: FIRST AMENDMENT TO AGREEMENT: 1. Amendment. Section 3 of the Agreement is hereby amended to read as follows: 3. Compensation. ❑ LUMP SUM. Compensation for these services shall be a Lump Sum of City of Port Orchard Kitsap Humane Society Professional Service Agreement Contract No. 006-25, Amendment No. 1 Page 1 of 3 Docusign Envelope ID: 8071A53E-2DC4-47B7-A2A7-6OE4F3686585 ❑ TIME AND MATERIALS NOT TO EXCEED. Compensation for these services shall not exceed $ without written authorization and will be based on billing rates and reimbursable expenses attached hereto as Exhibit " ". ❑ TIME AND MATERIALS. Compensation for these services shall be on a time and material basis according to the list of billing rates and reimbursable expenses attached hereto as Exhibit " © The total amount of this contract for 2026 shall be $70,524 inclusive of all services performed herein except as otherwise set forth in this paragraph. Port Orchard shall pay the Consultant for its services in the sum of $5,877 each month for twelve installments beginning in January 2026. Additional Costs for Impounded Animals The costs of impoundment of animals beyond 30 days due to the judicial system requiring the retention of evidence (animals), will be paid by the City at a discounted rate of $25.00 per day plus tax per animal for domestic animals (dogs, cats, and other small pets) and $45.00 per day plus tax per animal for livestock (horses, cows, sheep, goats, pigs, etc.) 2. Severability. The provisions of this Amendment are declared to be severable. If any provision of this Amendment is, for any reason, held to be invalid or unconstitutional by a court of competent jurisdiction, such invalidity or unconstitutionality shall not affect the validity or constitutionality of any other provision. 3. Entire Agreement. The written provisions and terms of this Amendment shall supersede all prior verbal statements of any officer or other representative of the parties, and such statements shall not be effective or be construed as entering into or forming a part of or altering in any manner whatsoever, this Amendment. The entire agreement between the Parties with respect to the subject matter hereunder is contained in the Agreement and exhibits thereto, any prior executed amendments and this Amendment. Should any language in any of the Exhibits to the Agreement or prior amendments conflict with any language contained in this Amendment, then this Amendment shall prevail. Except as modified by this Amendment, all other provisions of the original Agreement and any amendments thereto not inconsistent with this Amendment shall remain in full force and effect.
