THIS AMENDMENT to Contract No. C066-20 ("Amendment") is made effective as of the day of January, 2026, by and between the City of Port Orchard ("City"), a municipal corporation, organized under the laws of the State of Washington, and Rice Fergus Miller, Inc., a corporation organized under the laws of the State of Washington, located and doing business at 275 5th St., Bremerton, WA 98337 ("Consultant"). WHEREAS, on July 29, 2020, the City executed a Professional Services Agreement with Consultant for the South Kitsap Community Event Center Project (the "Project") ("Underlying Agreement"); and WHEREAS, on July 27, 2021, the City and Consultant executed Amendment No. 1 to the Underlying Agreement, increasing the contract amount and adding additional scope of work (work within the scope of the initial Request for Qualifications); and WHEREAS, on September 17, 2021, the City and Consultant executed Amendment No. 2 to the Underlying Agreement, adding additional scope of work (work within the scope of the initial Request for Qualifications); and WHEREAS, on October 12, 2021, the City and Consultant executed Amendment No. 3 to the Underlying Agreement, increasing the contract amount and adding additional scope of work (work within the scope of the initial Request for Qualifications); and WHEREAS, on January 25, 2022, the City and Consultant executed Amendment No. 4 to the Underlying Agreement, increasing the contract amount and adding additional scope of work due to unforeseen on -site conditions; and WHEREAS, on March 21, 2022, the City and Consultant executed Amendment No. 5 to the Underlying Agreement, extending the contract term to accommodate the scope of work; and WHEREAS, on April 12, 2022, the City and Consultant executed Amendment No. 6 to the Underlying Agreement, updating the scope and fee for tasks 4 and 5 of C082-19; and WHEREAS, on September 13, 2022, the City and the Consultant executed Amendment No. 7 to the Underlying Agreement, adding additional design work related to shoreline improvements and permitting; and WHEREAS, on December 13, 2022, the City and the Consultant executed Amendment No. 8 to the Underlying Agreement, adding additional design work LEED Certification feasibility; and WHEREAS, in February 2023, the City and Consultant executed Amendment No. 9 to the Underlying Agreement, adding a modification to the architectural plans to meet LEED silver certification; and WHEREAS, in May 2023, the City and Consultant executed Amendment No. 10 to the Underlying 11171747.1 - 366922 - 0001 Docusign Envelope ID: 4D3E8ADF-5736-407A-9C6E-D7DC03CA8CDC Agreement, making design modifications to portions of the CEC space to be occupied by the Library; and WHEREAS, in June 2023, the City and Consultant executed Amendment No. 11 to the Underlying Agreement, extending site design scope to include Orchard Plaza Schematic Design as an element of the Community Event Center; and WHEREAS, in December 2023, the City and Consultant executed Amendment No. 12 to the Underlying Agreement, incorporating on -call work necessary for the Project pertaining to necessary modifications to existing Washington State Department of Natural Resources aquatic land lease(s) and associated permits for the CEC; and WHEREAS, in January 2024, the City and Consultant executed Amendment No. 13 to the Underlying Agreement, providing for the performance of the next phase of services, to include preparation of the following: Design Development (60% design level); Permits Documents (90% design level); and Construction Documents (100% design level); and WHEREAS, in February 2025, the City and Consultant executed Amendment No. 14 to the Underlying Agreement, providing for a time -only extension of the contract to June 30, 2027; and WHEREAS, in May 2025, the City and Consultant executed Amendment No. 15 to the Underlying Agreement, providing additional authority associated with the schedule extension set forth in Amendment No. 14 and associated necessary expansion of the scope of work to include storm drainage redesign due to the interplay between the CEC and Orchard Plaza project, with the SR 166 Bay Street project, and additional design work triggered by review comments received from federal and state regulatory agencies; and WHEREAS, in September 2025, the City and Consultant executed Amendment No. 16 to the Underlying Agreement, providing additional authority associated with the City's requested modification to the design to include revisions to the design for restroom facilities, the proposed "coworking space" to a meeting space, and modification of a window unit to a glass door system; and WHEREAS, in September 2025, the City and Consultant executed Amendment No. 17 to the Underlying Agreement, providing additional design services for a specialty signage related to donor recognition for the facility; and WHEREAS, in September 2025, the City and Consultant executed Amendment No. 18 to the Underlying Agreement, providing for additional work associated with the design of specialty signage for key historic markers on the site and inside the building, as required by the local Cultural Resources Permit Committee and U.S. Army Corps of Engineer; and WHEREAS, in September 2025, the City and Consultant executed Amendment No. 19 to the Underlying Agreement, providing for additional preliminary design services for ancillary furniture within 14,600 square feet of furnishable space, and on September 2, 2025, and modifying the cost estimate accordingly; and WHEREAS, in January 2025, the City identified the need for additional design services for stormwater facilities to relieve inundation associated with increased impervious surfacing due to the Project, and Consultant and City agreed to terms for a modification to the Underlying Contract to address this concurrent work; The Underlying Agreement, including previous Amendments Nos. 1-19, is amended as follows (amendment shown in legislative marks): a. The Scope of Work is amended to add the tasks as set out in Attachment 1 hereto (Amendment #20 Request). b. For the Amendment #20 Scope of Work, compensation for these services shall be based on the list of billing rates set out in Attachment 1 and incorporated herein by this reference, not to exceed $208,924 for the performance of the Amendment #20 Scope of Work, plus reimbursable expenses and any applicable taxes, as se out in Attachment 1 hereto. 2. In all other respects, the Underlying Agreement between the parties shall remain in full force and effect, amended as set forth herein, but only as set forth herein. KPFF will be designing the lift station with support from RH2 for the electrical services that may be routed from the sewer lift station. The electrical proposal from RH2 is provided separately. This work will be concurrent with the design of the Community Event Center and Orchard Plaza projects as the lift station infrastructure will be located within the same project limits. SCOPE OF WORK ADDITIONAL CIVIL SUPPORT The following civil efforts are in addition to the efforts documented in our proposal dated June 19, 2025 and will be provided during the draft, permit, and final design phases: • Coordination with and management of the pump station sub -project team. We anticipate attending up to 10 meetings, including approximately three meetings with the City to coordinate design efforts. • Evaluate and select preliminary location of lift station that works with site space constraints and planned stormwater conveyance system. • Design a regional water quality facility to provide enhanced treatment for a portion of SR166, Frederick Ave, and most of the CEC and Plaza projects. We anticipate running water quality models, coordinating with up to two manufacturers to compare products, and updating the stormwater conveyance system to route runoff to the water quality facility prior to discharging to the Sinclair Inlet. • Design a custom flow splitter structure to divert water quality flow rate to the water quality facility mentioned above. • Provide additional civil related research and calculations to support the integration of the pump station into the Plaza and Community Event Center design. Docusign Envelope ID: 4D3E8ADF-5736-407A-9C6E-D7DC03CA8CDC Lorie Limson Cook December 9, 2025 Page 2 CIVIL LIFT STATION DESIGN GENERAL PROJECT UNDERSTANDING This scope and fee proposal reflects our current understanding of the project to install a stormwater lift station as part of the CEC project. It is our understanding that due to high king tide/SLR water surface elevations and generally low site grades, the site is subject to backwater flooding conditions at the 100 -year storm event. The City of Port Orchard desires to control the backwater flooding condition by constructing a lift station. Preliminarily, the lift station would be normally off and only operate during backwater conditions, helping to control backwater flooding in the plaza area and adjacent streets. PROJECT MANAGEMENT AND TEAM COORDINATION KPFF will manage our internal day-to-day tasks on the project including coordinating our internal design schedule, internal coordination meetings and tracking project budget. We will also participate in three (3) external coordination meetings (virtual). LIFT STATION DESIGN KPFF will provide civil engineering to develop plans and specifications for the project. The design for the flood mitigation will include the following: Data Gathering and Records Review: KPFF will gather and review existing records and system data to inform the lift station design. SWMM Modeling: KPFF will develop a SWMM model to assess the backwater condition caused by the 100 -year storm event coinciding with the highest observed tidal event. This includes reviewing and proposed basin delineations, developing an anticipated tidal curve, and developing a SWMM model. Three (3) tail water flooding elevations will be evaluated to determine the extent of potential flooding and final model tail water evaluation will be jointly agreed upon. Overtopping Analysis/Preliminary Pump Sizing: KPFF will analyze the backwater overtopping utilizing the developed SWMM model. This will be used to determine the location and extent of backwater ponding. We will model a lift station in SWMM to develop preliminary pump sizing necessary to manage backwater condition. Note that actual discharge rate/pump size will be determined by the extent of the backwater ponding. Lift Station Hydraulics and Pump Sizing: Following the SWMM modeling, KPFF will design and size the pumps. We will coordinate with one local lift station/pump vendors to determine pump model numbers, physical sizes, and electrical requirements. • Electrical Subconsultant Coordination: KPFF will assist with coordination of the electrical subconsultant (scoped separately by RH2) to provide electrical power, racking, mini power zone, etc. to the lift station. We assume one round of comments. Plans and Specifications: KPFF will develop Draft, Permit, and Final plans and specifications. Plans will include a lift station plan sheet and 2 or 3 detail sheets. KPFF will develop lift station specifications based on CSI format and provide review of other civil specifications that will control the work. Deliverables: o Draft Design Drawings o Permit Set Design Drawings o Draft Specifications (with Permit Set) o Final Drawings (Permit Comment Responses) o Final Specifications ITEMS PROVIDED BY OTHERS The following items are assumed to be provided by others to KPFF to accomplish the work identified herein: • Electrical design and PS&E to provide power to the lift station • Geotechnical information regarding groundwater elevation • Cost Estimating • Permitting management ASSUMPTIONS The following items are assumed to accomplish the work identified herein: • All coordination meetings will be virtual. • One round of permit set comment responses and revisions will be required. EXCLUSIONS The following exclusions have been identified herein: • Permit fees will be paid by others. • Existing utility reroutes • Bid Support — KPFF can provide bid support services if requested as part of a subsequent scope and fee. • Construction Support Services — KPFF anticipates providing CSS support during construction, including as -built drawings as part of a subsequent scope and fee. SCHEDULE AND SEQUENCE We have assumed that the design work of this proposal will be substantially completed by Q2 of 2026 and have assumed the following approximate durations by phase. We have not included allowances for schedule modifications or delays. Port Orchard Community Event Center Stormwater Pump Station January 2026 Background The City of Port Orchard (City) is planning for the construction of a Community Event Center (CEC) on the waterfront of Sinclair Inlet in downtown Port Orchard as part of a larger planned downtown improvement that includes street improvements and utilities, the CEC, and a waterfront plaza. As part of the overall downtown improvements, a stormwater pump station may be required to relieve inundated intersections from storm and tidal water during combined king tide and severe precipitation events. Rice Fergus Miller, Inc., (RFM) is the prime consultant coordinating the design of the City's improvements. KPFF Consulting Engineers (KPFF) is a subconsultant to RFM and has been tasked to design portions of the overall project, including the proposed future stormwater pump station. RH2 Engineering, Inc., (RH2) completed the design of the City's recently constructed Marina Pump Station, the City's largest sewer pump station, adjacent to the CEC and within the proposed waterfront plaza. KPFF plans to possibly provide power and communications to the future stormwater pump station from the newly completed Marina Pump Station. RFM has requested RH2 assist KPFF with the stormwater pump station design by providing the electrical design that will power the proposed future stormwater pump station from the Marina Pump Station as a subconsultant to RFM. General Assumptions The following assumptions were made when preparing this Scope of Work: • RH2 will rely upon the accuracy and completeness of information, data, and materials generated or produced by RFM, KPFF, the City, or others in relation to this Scope of Work. Information is assumed to be provided by or with written authorization from the owner of the information. • Deliverables will be submitted in electronic format (PDF) unless otherwise noted. • This Scope of Work is limited to the services described herein and will be performed to the level of effort identified in the attached Fee Estimate. If additional effort is needed, that extra work will be mutually determined by RFM and RH2. • It is assumed that the future stormwater pump station can be powered by the available/spare power supply in the Marina Pump Station. If backup power is required for the storm water pump station, an amendment for additional design services will be prepared. • The proposed storm water pump station is assumed to be a packaged system that will be delivered to the site with interconnecting controls and power. The power supply and communications connection design are the only requirements from RH2. No pump sizing, panel design, or civil improvements are included within this Scope of Work. • Task 3 and Task 4 are contingent on the results of Task 2— Predesign Services. Task 3 and Task 4 will not be started unless written authorization is received from RFM. It is possible that Task 3 and Task 4 may not need to be performed. Task 1— Project Management and Administration Objective: Manage and coordinate RH2 staff, schedule, and budget, and provide related services required for the project. Approach: 1.1 Manage RH2 Project Team and Submit Monthly Invoices — Manage the RH2 project team to track work elements accomplished, work items planned for the next period, labor hours, scope changes, time, and budget needed to perform the Scope of Work. Submit a monthly invoice summarizing costs and remaining budget by task. 1.2 Perform Quality Control Reviews — Perform internal quality assurance and quality control reviews by the Principal in Charge for any pre -design deliverables and at the 90 -percent and bid -ready design milestones. RH2 Deliverables: • Monthly invoices. Task 2— Predesign Services Objective: Asist RFM and KPFF on a on -call basis to provide pre -design services including attending meetings, reviewing KPFF pre -design documents for feasibility, and providing planning level Opinions of Probable Cost (OPCC). Approach: 2.1 Predesign Services — Attend meetings, review proposed stormwater pump station material, and provide planning level OPCC as requested by RFM. Approach: 3.1 Evaluate Power Capacity — Evaluate the existing Marina Pump Station power distribution capacity. 3.2 Prepare Preliminary Electrical Plans — Develop power distribution design plans, including the one -line diagram, power distribution and signal plan, electrical site plan, electrical details, and schedules. 3.3 Prepare Preliminary Control Plans — Develop control drawings for integration of the stormwater pump station, including revised telemetry panel drawings. 3.4 Prepare Specifications — Prepare technical specifications using RH2's modified Construction Specifications Institute format. 3.5 Prepare OPCC — Prepare an OPCC for the proposed electrical improvements, with a breakdown defining the elements of the work. Assumptions: • The 90 -percent review comments will be minor in nature and limited to addressing comments on PDF plan sets and tracked changes in MS Word specification documents from RFM. The 90 -percent design reviews are assumed to take two (2) calendar weeks. Provided by RFM: • Pump sizing and pre-packaged pump station information to initiate the electrical and control design. Pump information shall have voltage, horsepower, and full load amperage identified. RH2 Deliverables: • Bid -ready design plans, specifications, and OPCC. Project Schedule RH2 is prepared to commence with the work outlined herein upon written authorization to proceed from RFM. RH2 can complete the proposed scope within three (3) months of authorization or longer as the Prime schedule requires.
