CITY OF PORT ORCHARD
TRANSFER OF OWNERSHIP AND RELEASE OF LIABILITY
DONOR: PORT ORCHARD POLICE DEPARTMENT ("POPD")
RECIPIENT: KITSAP COUNTY SHERIFF'S OFFICE ("KCSO")
TRANSFER OF OWNERSHIP AND CONSIDERATION. For and in consideration of the
mutual covenants contained herein, including the KCSO's assumption of all future
maintenance, storage, and liability costs, and the public benefit derived from the continued
use of these government assets, the POPD hereby grants, transfers, and assigns all rights,
title, and interest in the property described below to KCSO for law enforcement purposes.
The parties acknowledge the sufficiency of this consideration in lieu of monetary payment.
2. PROPERTY DESCRIPTION. The POPD authorizes the release and transfer of the
"Property" identified below to KCSO:
• 3120-2009. Honda ST1300 Patrol Motorcycle (VIN # JH2SC51729K600665) and
• 5785 - MPH KA 2010 Motorcycle Radar.
3. OWNERSHIP. POPD warrants that it is the sole owner of the Property, which is without lien
or security interest, and no known safety defects at the time of transfer.
4. CONDITION OF ASSETS ("AS -IS"). KCSO accepts the donation and acknowledges that
POPD is transferring ownership of the assets in an "As Is, Where Is" condition and without
warranty.
5. INDEMNIFICATION, LIABILITY. The KCSO agrees to indemnify, defend, and hold harmless
the POPD, and its elected officials, officers, agents, and employees from and against any
and all claims, including third -party claims, for harm, damage, or injury to person or property
arising from or related to the ownership, possession, use, or maintenance of the assets
following the date of transfer.
6. COUNTERPARTS. This Agreement may be executed in counterparts, any of which shall be
deemed an original but all of which together shall constitute one and the same instrument.
7. ENTIRE AGREEMENT/AUTHORIZATION. This Agreement contains the entire agreement
between the parties. This Agreement shall be binding upon and inure to the benefit of the
parties hereto and their respective successors. Each party signing below warrants to the
other party, that they have the full power and authority to execute this Agreement on behalf
of the party for whom they sign.
