Such notice must be delivered personally, by mail, by fax, or by electronic mail at least twenty-four hours before the time of such meeting as specified in the notice. The call and notice shall specifij the time and place of the special meeting and the business to be transacted. Recommendation: Declare the firearms surplus. Motion for consideration: I move to authorize the Mayor to execute Resolution No. 021-10, authorizing the Police Department to dispose of the listed firearms in the best interest of the City. Fiscal Impact: Our standard procedure is to examine the firearms. Some will be traded for other department firearms or equipment and others will be destroyed. Those traded are done so with a company that only provides weapons and equipment to law enforcement officers and agencies. Those that are destroyed are done so because they serve no lawful purpose. We indicated to McCormick residents during annexation the desire to place a substation in the area to allow officers a place to make calls, do reports, etc., that also allowed them a quicker response time to areas in the western part of the city. This substation will allow officers quick access to McCormick, The Ridge, our industrial park, and even the Sidney/Sedgwick area. The substation will not be staffed and as such will have no public access. Its purpose is strictly to provide office and computer access for officers. The lease pays C&M Golf $150 per month for rent, which includes the exclusive use of office space, parking space, shared use of a lunch room and bathroom facilities, and all utilities including internet access. It was originally budgeted for $125 per month for the rent in the police budget, but at that time it was expected that telephone and internet access would have to be paid for separately. This will actually save an expected $25-$75 per month depending upon the internet and phone plans we would have purchased. Recommendation: Authorize the Mayor to sign Contract No. 046-1o, with C&M Golf, LLC. Motion for consideration: I move to authorize the Mayor to sign Contract No. 046-1o, with C&M Golf, LLC for the leasing of space for a police substation for thirty-six months from June 1, 2010, with monthly rent set at $150 per month, to include office space, parking space, all utilities including internet, and use of shared lunch/bathroom facilities. Fiscal Impact: $150 per month (budgeted within the police department annual operating budget) Attachments: Contract No. C046-lo LEASE AGREEMENT City Contract No. C046-10 This Lease Agreement is effective as of June 1, 2010 (the "Lease Commencement Date") by and among C&M Golf, LLC, a Washington limited liability company, hereinafter called "Lessor," and the City of Port Orchard, a Washington municipality, hereinafter called "Lessee," pursuant to the terms and conditions provided below. The Lessor and Lessee may be referred to herein individually as a "Party" or collectively as the "Parties." 1. Premises. Lessor leases to Lessee portions of the building located at 5151 St. Andrews Drive, Port Orchard, Washington 98367, situated on the real property described in Exhibit"I". Said leased premises are described as follows: (a) That portion of the second floor consisting of approximately 130 square feet of floor space; and (b) An undivided shared right of access to the lunchroom and restroom facilities within the building. (c) Access. Lessee shall have access to the Premises anytime on or after the Lease Commencement Date until such time as this Lease is terminated. 2. Term. (a) Initial Term. This Lease shall be for a term commencing on the Lease Commencement Date and terminating thirty six (36) months thereafter. (b) Option to Renew Lease. At the expiration of the Initial Term, if this Lease shall then be in full force and effect, and Lessee shall have fully performed under the Lease's terms and conditions, Lessee shall have the option to extend this Lease for an additional period of thirty six (36) months, such option to be exercised in writing by Lessee at least six (6) months prior to the expiration of the Initial Term. Rent during the option period shall be negotiated by the Parties. 3. Rent. Lessee agrees to pay to Lessor the sum of one hundred and fifty dollars ($150.00) per month (the "Rent") as and for the monthly rental. The Rent and any other charges due from the Lessee to the Lessor each month are due and payable on the first day of each month during the term of this Lease. All utilities including the cost of internet access are included in the Rent. 4. Subordination. Lessee agrees that this Lease shall be subordinate to any mortgages or deeds of trusts placed upon the Premises by Lessor or the successor in right to the Lessor under this Lease. Lessee agrees to execute such a mortgage or deed of trust subordination agreement if requested by Lessor. - 1 - 5. Maintenance and Repair. Lessee shall keep the Premises in good condition. Lessor shall not be called on to make any repairs caused by the negligence of the Lessee or Lessee's agents or employees. 6. Lessee's Repairs and Alterations. Lessee agrees to keep the Premises neat and clean and in a sanitary condition, to repair all damage to the Premises caused by Lessee's use other than ordinary wear and tear. Lessee also agrees that upon termination of this Lease, Lessee shall leave the Premises in good condition, except for ordinary wear and tear. Lessee will not make any alterations, additions, or improvements to the Premises without the prior written consent of the Lessor. 7. Damage by Casualty. In the event the Premises shall be destroyed or damaged by fire or other casualty so that the same shall be unfit for use or occupancy, then the Lessor shall, within fifteen (15) days after such casualty, notify the Lessee whether or not Lessor elects to rebuild the Premises. If Lessor elects not to rebuild the Premises, then this Lease shall be terminated and the Rent and charges will be adjusted as of said date of election. If Lessor elects to rebuild the Premises, then the Rent and charges shall be suspended for such period as Lessee is not in possession and until the Premises can be made fit for the Lessee's occupancy. 8. Condemnation. In the event of any condemnation proceedings, this Lease shall terminate upon the taking of possession by any public entity. Lessee shall not be entitled to the benefits of any condemnation award, save and except any rights it may have for moving costs under separate provisions of the laws of the State of Washington attributable to the rights of the tenants only. 9. Indemnification. Lessee agrees to defend, indemnify, and hold Lessor harmless from and against all demands, claims, causes of action, liability, or judgments for injury to person, loss of life, or damage to property occurring on the Premises and arising out of or relating to Lessee's use and occupancy of the Premises. 10. Termination. Either Party may terminate this Lease by providing the other Party with notice in writing at least 120 days before the intended date of termination. 11. Assignment and Subletting. Lessee shall not assign this Lease nor sublet the Premises without Lessor's prior written consent, which written consent may be granted or withheld in the sole discretion of Lessor. 12. Waivers. One or more waivers of any terms or conditions of this Lease by Lessor shall not be construed as a waiver of a subsequent breach of the same term or condition. 13. Attorney Fees. If any litigation is commenced between the Parties in order to enforce or interpret this Lease, the prevailing party in such litigation shall be entitled to recover the reasonable attorney fees and costs it incurs in the litigation. -2- 14. Sitns. All signs or symbols posted or displayed on the exterior of the Premises by Lessee shall be subject to the approval of the Lessor in its sole discretion. 15. Notice. Money from the sale of surplus property is deposited into the Fund which owned the equipment. When disposal is to the general public through direct sale, sealed bid or auction, final determination of value shall be the highest responsible bid or offer. The City may transfer a surplus asset to another public agency upon written request and a determination that it is in the public interest to do so. RCW 35.94.04o requires a public hearing prior to disposal of equipment owned by a Utility. Surplus Water Sewer Utility equipment is described on Attachment "A". A Public Hearing was previously held for the disposition of Water Sewer Utility personal property. Property declared surplus owned by other than Water Sewer Utility is provided as Attachment "B". No public hearing is required for property other than for a Public Utility. Recommendation: Staff recommends approval of Resolution No. 022-10, declaring certain property surplus and allowing for its disposition. Fiscal Impact: Money from the sale of surplus equipment is deposited in the Fund of ownership. The 2010 value is minimal due to property type and the remaining useful life of the equipment. This drill targets the 2010 senior class and gives them a glimpse of what may happen to those involved in a serious / fatal accident. Our focus is to show them the bad and encourage them to make good decisions while out enjoying their senior class festivities. This year's drill is scheduled for Tuesday June 1st starting at 09:00 and will take place on Mitchell Ave in front of the High School. At this time we would like to request the ability to close Mitchell Ave during our exercise. We would like to close the road between the north and south parking lots in front of the school, see the attached map. We would close the road at 08:00 for set up and the drill will start at 09:00 and run for about 1 hour. We anticipate the road will reopen at 10:30. Vehicles traveling north on Mitchell will be detoured down the Pool access road back to Mile Hill Drive and vehicles traveling south on Mitchell will be detoured up Dekalb and back around to Mitchell.
