CITY OF PORT ORCHARD, WASHINGTON
AND
PACIFIC AIR CONTROL, INC.
THIS FIRST AMENDMENT TO THE HVAC MAINTENANCE CONTRACT BETWEEN THE
CITY OF PORT ORCHARD AND PACIFIC AIR CONTROL, INC. (this "Amendment") is dated
September 26, 2017 by the City of Port Orchard, a municipal corporation of the State of Washington (the
and Pacific Air Control, Inc. ("Contractor"). Each of City and Contractor is sometimes referred to
herein as a "Party" and together as the "Parties". Capitalized terms used in this Amendment and not
otherwise defined shall have the meanings ascribed to such terms in the Agreement.
RECITALS
A. WHEREAS, City and Contractor are parties to that certain Contract for HVAC
Maintenance, effective December 11, 2012 and has been extended per contract section
l.B(the "Agreement"); and
B. WHEREAS, the City had budgeted $100,000.00 in the 2017-201.8 budget to replace the
boilers servicing City Hall; and
C. WHEREAS, on March 14t' 2017 the City entered into contract with Hermanson Company
to evaluate the boilers and provide us with a condition assessment; and
D. WHEREAS, on April 7t' 2017 Hermanson provided a conditional assessment which stated
the boilers could last another 15-20 years with maintenance & water treatment provided by
service technicians certified to work on our specific boilers; and
E. WHEREAS, on August 25' 2017 Pacific Air Control provided the City with a proposal for
the additional annual maintenance by Fulton certified technician; and
F. WHEREAS, City and Contractor now desire to amend the Agreement as set forth below;
AGREEMENT
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the receipt
and sufficiency of which are hereby acknowledged, the Parties mutually agree as follows:
1. Exhibit A-C. Exhibit A shows current contract maintenance schedule, Exhibit B is the
service report provided by Hermanson and Exhibit C is the quote for additional annual boiler
maintenance need to maintain functionality and life span of boilers.
2. Full Force and Effect. Except as otherwise provided in this Amendment, all other terms and
provisions of the Agreement shall remain in full force and effect.
