CITY OF PORT ORCHARD PROFESSIONAL SERVICES AGREEMENT WITH
MODUS TECHNOLOGY, INC
THIS AMENDMENT to Contract No. 014-20 ("Amendment") is made effective as of the 23rd day
of June, 2020, by and between the City of Port Orchard ("City), a municipal corporation, organized under
the laws of the State of Washington, and Modus Technology, Inc, a corporation organized under the laws of
the State of Washington, located and doing business at 1420 NW Gilman Blvd 42562, Issaquah, WA 98027
("Consultant").
WHEREAS, on December 11, 2019, the City executed a Professional Services Agreement with
Consultant, for the provision of document imaging/scanning ("Underlying Agreement"); and
WHEREAS, Section IC ("Terms") of the Underlying Agreement provides that "[tlhis Agreement
shall commence on January 2, 2020 ("Commencement Date") and shall terminate June 30, 2020 unless
extended or terminated in writing as provided herein. Additionally, the City reserves the right to review the
Agreement at regular intervals to assure the quality of services provided by the Vendor and to offer two (2)
one-year extensions prior to contract expiration to retain the Vendor's services"; and
WHEREAS, the Consultant and the City have conferred and agreed to extend the contract end date;
and
WHEREAS, the parties wish to memorialize their agreement to so extend the Underlying Agreement;
NOW, THEREFORE,
follows:
In consideration of the mutual benefits accruing, it is agreed by and between the parties thereto as
The Underlying Agreement of December 11, 2019 between the parties is amended as follows
(amendment shown in legislative marks):
• This Agreement shall commence on January 2, 2020 ("Commencement Date") and shall
terminate June 30, 2021, unless extended or terminated in writing as provided herein.
Additionally, the City reserves the rights to review the Agreement at regular intervals to
assure the quality of serviced provided by the Vendor and to offer two (2) one-year
extensions prior to contract expiration to retain the Vendor's services.
2. In all other respects, the Underlying Agreement between the parties shall remain in full force and
effect, amended as set forth herein, but only as set forth herein.
