CITY OF PORT ORCHARD PROFESSIONAL SERYICES AGREEMENT WITH
SPECTRA LABORATORIES - KITSAP, LLC
THIS AMENDMENT to ContractNo. 014-18 ("Arnendment") is made effective as of the 31s day
of December, 20l9,by and between the City of Port Orchard ("CiU"), a municipal corporation, organizrd
under the laws of the State of Washingtor, and Spectra Laboratories - Kitsap, LLC, a company organized
under the laws of the State of Washington, located and doing business at 26276 Twelve Trees Lane, Suite
C, Poulsbo, WA 98370 ('Consultanf').
WHEREAS, the City and the Consultant executed a Professional Services Agreement with a
cornmencement date of January 1, 2018 for the provision of Drinking Water Quality Testing Services
("Underlying Agreernent"); and
WHEREAS, the Underlying Agreement's expiration date was DecErnber 31,2018, and the yearly
tasks/scope of work is defined in Exhibit A attached thereto; and
WHEREAS, Section 3 ("Terms") of the Underlying Agreement reserves to the City 'ttre right to
offer two (2) one-year extensions prior to contract expiration to retain" the Consultant's services; and
WHEREAS, on December 28, 2018, the parties executed an extension letter extending the
Underlying Agreement through December 31,2019 on the same terrrs ("Extension Letter"), a copy of
which is attached hereto and incorporated herein by this reference; and
WHEREAS, Section lB ('services by Consultant") of the Underlying Agreement provides that
'[t]he City may from time to time require changes or modifications in the Scope of Work. Such changes,
including any decrease or increase in the amount of compensation" shall be agreed to by the parties and
incorporated in written amendments to the Agreement"; and
WHEREAS, the Consultant and the City have conferred and agreed to extend the Underlying
Agreement and provide for an increase in compensation; and
WHEREAS, the parties wish to memorialize their agreement to so extend the Underlying
Agreement and increase the compensation therefor; NOW, THEREFORE,
In consideration of the mutual benefits accruing, it is agreed by and between the parties thereto as
follows:
l. The Underlying Agreement of January l, 2018 between the parties, is amended in, but only
in, the following respects:
A. Term of Agreement. Section 3 of the Underlying Agreement, which was extended by the
parties' Extension Letter to provide a termination date of December 31, 2019, is hereby
amended to state that the termination date shall be December 31,2020.
B. Compensation. Section 4 of the Underlying Agreement, which includes a contract arnount of
Ten Thousand Dollars ($10,000.00), which is stated as an amount that shall not be exceeded, is
hereby amended to include an additional not to exceed amount of Twenty Thousand Dollars
($20,000.00) for the time spent on Scope of Work tasks in 2019 and the time to be spent on
those tasks in 2020. As a result of this Amendment No. l, the total contract amount is
increased to a new not to exceed amount of Thirly Thousand Dollars ($30,000.00).
2. In aII other respects, the Underllng Agreement between the parties shall remain in full
force and effect, amended as set forth herein, but only as set forth herein.
